Zebbo Live Coin Gifting Program Terms and Conditions

These Coin Gifting Terms and Conditions ("Terms") govern your participation in the Zebbo Live Coin Gifting Program ("Program") provided by Zebbo Labs LLC ("Company," "we," "us," or "our"). By accessing or participating in this Program, you agree to comply with these Terms, the Zebbo Live Terms of Service, Community Guidelines, Privacy Policy, and all other applicable policies (collectively, "Policies"). In the event of a conflict between these Terms and any other Policy, these Terms shall govern specifically in relation to the Program.

1. Overview of the Program

The Zebbo Live Coin Gifting Program allows viewers ("Viewers") to support and recognize contributors ("Contributors") by sending virtual gifts in the form of Coins. Viewers can purchase these Coins through Zebbo Live's mobile application or website (zebbo.live), and contributors who receive these Coins can redeem them for monetary value, subject to these Terms. Gifting is supported across Zebbo Live content types, including recorded video-on-demand ("VOD") content and live video streams ("Live Streams").

2. Eligibility

General Eligibility (All Users):

To participate in the Zebbo Live Coin Gifting Program—whether as a Viewer (who purchases and sends Coins as gifts) or as a Contributor (who receives Coins as gifts)—you must meet the following general criteria:

Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
Hold and maintain an active Zebbo Live user account in full compliance with all applicable Zebbo Live Policies and laws.

Additional Eligibility (Contributors only):

To be eligible to receive Coins as gifts and redeem them for monetary value, you must:

Successfully complete Zebbo Live's onboarding process for the Coin Gifting Program, including providing your date of birth to confirm you are 18 years of age or older, as well as accurate tax details and PayPal account information. Users who do not complete these onboarding steps will not be eligible to receive or redeem Coins.
Have an active and verified PayPal account, as PayPal is the sole payment method supported by Zebbo Live for withdrawals.

Additional Eligibility for Live Stream Gifting (Contributors hosting Live Streams):

To be eligible to host a Live Stream through which Viewers may send Coins as gifts, you must, in addition to the above:

Maintain the minimum follower threshold required to host live streams, as determined by Zebbo Live at its sole discretion and subject to change at any time without prior notice.
Be at least 18 years of age. Contributors must have provided a verified date of birth to Zebbo Live confirming this requirement. Zebbo Live reserves the right to suspend live streaming privileges if a Contributor's age cannot be confirmed or is subsequently found to fall below this threshold.

3. Purchasing Coins

Viewers may purchase Coins through the Zebbo Live app or website.

The price for Coins will be clearly advertised and displayed at the point of purchase.
All payments are final upon completion of purchase.
Coins are credited immediately to your Zebbo Live account after successful payment.
Coins may only be used within Zebbo Live's platform. Coins have no cash value for Viewers and may not be transferred, refunded, redeemed for cash, or otherwise exchanged except as specifically permitted under these Terms.

4. Sending Coins as Gifts to Contributors

Viewers may send Coins to Contributors through the gifting interface provided by Zebbo Live.

The gifting interface clearly displays the amount of Coins associated with each available gift option.
By sending Coins (virtual gifts) to a Contributor, the full Coin amount of the gift will be immediately deducted from your Zebbo Live account, and the designated Contributor's account will be credited with that amount less the Platform Commission, at the rate and time described below.
You acknowledge that gifting is publicly visible within the Zebbo Live platform; details including your username and gifted Coin amount will be shared publicly.

Platform Commission

Zebbo Live retains a commission on every gift sent through the Program, whether sent on VOD content or during a Live Stream ("Platform Commission"). The rate depends on where the gift is sent, as described below.
Gifts sent to the Contributor hosting a Live Stream carry a Platform Commission that varies with the duration of that Live Stream. These gifts are not credited gift by gift: they are held for the duration of the stream and settled once, after it ends, at the rate corresponding to the stream's total duration:
- Under 5 minutes: 30% credited to the host, 70% Platform Commission.
- 5 minutes to under 15 minutes: 50% credited to the host, 50% Platform Commission.
- 15 minutes to under 25 minutes: 60% credited to the host, 40% Platform Commission.
- 25 minutes or more: 70% credited to the host, 30% Platform Commission.
Each Live Stream is assessed on its own duration. A Contributor who ends a Live Stream and starts another begins a new stream, with a new duration, for the purpose of the rates above.
Gifts on VOD content, and gifts sent to an on-screen guest of a Live Stream, carry a flat Platform Commission of thirty percent (30%) of the Coin amount of the gift. The receiving Contributor is credited with the remainder when the gift is sent. For example, a gift of 100 Coins results in 70 Coins being credited to the Contributor's account.
The redemption rate described in Section 5 applies to the net Coin amount credited to the Contributor after deduction of the Platform Commission.
Zebbo Live may change the Platform Commission rates, including the duration tiers above, from time to time. Changes will be communicated in accordance with Section 10 ("Modification of Program Terms") and will apply prospectively only; the rates in effect at the time a gift is sent apply to that gift.

Live Stream Gifting

When sending Coins as gifts during a Contributor's Live Stream, the following additional terms apply:

Real-Time Processing. Gifts sent during a Live Stream are processed in real time. Coins are immediately deducted from your account and your gift—including your username, the gift type, and the Coin amount—is displayed publicly and visibly within the Live Stream to all participants.
No Reversal. All gifts sent during a Live Stream are final and cannot be recalled, reversed, or refunded once transmitted, regardless of the circumstances under which the Live Stream subsequently ends.
Settlement Timing. Coins gifted to the host of a Live Stream are held by Zebbo Live while the stream is in progress and are settled once, after the stream ends, at the duration-based rate set out in Section 4. While held, these Coins form no part of any Contributor's spendable or redeemable balance. Settlement follows the conclusion of the stream and may be subject to a further settlement period to allow the Platform to perform fraud detection and compliance verification; Zebbo Live does not guarantee that Coins will be credited instantaneously upon stream conclusion. Coins gifted to an on-screen guest, rather than to the host, are credited to that guest when the gift is sent, at the flat rate set out in Section 4.
Competitive Features. Zebbo Live may offer live streaming features such as battles or competitions ("Live Competitions") in which gifts received by competing Contributors influence scoring, rankings, or outcomes. By sending gifts during a Live Competition, you expressly acknowledge and accept that your gift will be applied toward the scoring or outcome of that competition, and that no refund or adjustment will be made on the basis of competition results.
Contributor Responsibility. Contributors who host Live Streams are solely responsible for the content of their streams. Zebbo Live does not guarantee the continuation, availability, or quality of any Live Stream, and is not liable for any interruption, technical failure, or premature termination of a stream.

5. Redemption of Coins by Contributors

Redemption Value

Coins received as gifts are redeemable at a fixed rate of $0.005 USD (half a U.S. cent) per Coin. This rate applies to the net Coin amount credited to the Contributor after deduction of the Platform Commission described in Section 4.
Contributors must accumulate a minimum balance of 1000 Coins ("Minimum Redemption Threshold") before requesting redemption.

Redemption Process

Contributors who have successfully completed the onboarding and verification requirements described in Section 2 ("Eligibility") and have provided a verified PayPal account may request redemption of Coins for monetary value.
All redemption requests will be processed exclusively through PayPal. Redemption requests are typically processed within fifteen (15) to thirty (30) days, subject to verification or additional compliance checks.

Taxes

You are solely responsible for complying with all applicable tax obligations related to redeemed Coins. If Zebbo Live is legally required to withhold amounts for tax purposes, any withheld amounts will be considered fully paid to you.

6. Power-Ups and Promotional Virtual Items

Zebbo Live may make available limited-time virtual items ("Power-Ups")—such as the Hammer, Glove, Mist, Ghost Gift, Tomato Barrage, Shield, No. 2 Booster, and Timer—that can be activated during Live Competitions to trigger visual effects or influence competition mechanics (for example, temporarily boosting the scoring value of gifts, obscuring an opposing Contributor's progress, concealing gift scores until a reveal, or extending the competition timer).
Power-Ups are awarded free of charge as promotional rewards for participation or performance in Live Competitions (for example, to a top supporter on the winning side of a battle). Power-Ups cannot be purchased. The criteria, odds, and availability of Power-Up awards are determined by Zebbo Live at its sole discretion and may change at any time.
Power-Ups are not Coins and have no cash or monetary value. They cannot be redeemed, transferred, exchanged, or sold, and they expire automatically after a limited period following their award.
Power-Ups and their effects are entertainment features only. Zebbo Live may modify, rebalance, suspend, or discontinue any Power-Up at any time without notice or compensation. No refund or adjustment of Coins or gifts will be made on the basis of the use, non-use, malfunction, expiry, or discontinuation of any Power-Up, or its effect on the outcome of any Live Competition.

7. Restrictions and User Conduct

You expressly agree that you will not:

Engage in fraudulent practices or use any automated system to inflate Coins, gifts, views, or follower metrics artificially.
Use automated tools, bots, coordinated activity, or any other artificial means to send gifts during Live Streams for the purpose of manipulating battle outcomes, leaderboard standings, or competitive rankings.
Coordinate with other users to artificially inflate a Contributor's gift totals during a Live Competition in exchange for compensation, reciprocal gifting, or any other benefit.
Exploit, or attempt to exploit, any bug or unintended behavior of Power-Ups or Live Competitions to gain an unfair advantage.
Violate any applicable laws or Zebbo Live's relevant Policies regarding community behavior or content standards.

The Company reserves the right, in its sole discretion, to suspend accounts, terminate eligibility for the Program, or reclaim payments or Coins earned in violation of these conditions.

8. Termination of Your Account

Termination by the Company

We reserve the right to suspend, terminate (delete), or limit your access to the Zebbo Live Coin Gifting Program at any time, and for any valid reason. Reasons may include, but are not limited to, violations of these Terms, Policies, applicable laws, platform misuse or any activity harmful to the Zebbo Live community.

Termination by You

You may delete your Zebbo Live account at any time directly through your account settings or by following instructions provided by Zebbo Live.

Effect of Termination

For Viewers (Coin purchasers): Upon account deletion or termination, any Coins remaining in your account will immediately expire without refund. Therefore, we strongly recommend using your Coins prior to deleting your account.
For Contributors (Coin receivers): Upon account deletion or termination, if your accumulated Coin balance meets or exceeds the Minimum Redemption Threshold, and provided you remain compliant with these Terms, you will receive a final payout for the redeemable balance. If your accumulated Coin balance is below the Minimum Redemption Threshold upon account termination, these Coins will be immediately forfeited, with no payout or compensation provided.
Any unexpired Power-Ups remaining in your account upon deletion or termination expire immediately without compensation.

9. No Assignment or Transferability

Coins purchased or received through the Program are non-transferable and are not assignable by operation of law or otherwise.

10. Modification of Program Terms

We reserve the right to update or modify these Terms at any time. Notice of major changes will typically be communicated via the platform or email. Continued participation following modification constitutes acceptance of the revised Terms. If you disagree with changes, you must discontinue your participation in the Program immediately.
